Consortium Agreement
I am pleased to share the final version of our Consortium Agreement.
Following bilateral discussions with VESTAS and IFEU, it was agreed to amend clause 8.5 as follows: "In accordance with the purpose of the Project and subject to Clause 8.4, all Results shall be made available under Open Access as defined in Annex 5 of the Grant Agreement and licensed under the Creative Commons Attribution (CC BY) license."
The rest of the agreement remains unchanged.
Since I do not anticipate this change to be an issue for the rest of the Consortium, I will proceed to send the CA to your signatories via DocuSign.
Banking information
We will need your banking information to process your prefinancing payment once we have received the prefinancing from the EC and the CA has been signed (I will provide you with a payment breakdown when we get closer to the date).
Please complete the EC Financial Identification Form template and return it to me - see here<https://commission.europa.eu/document/download/63135761-b41c-433a-b2eb-8732…> and attached.
Additionally, please let me know if we should include a specific payment reference to help you identify the payment in your accounts. By default, we will write "SUSTAINOW prefinancing".

Dear all,
Thanks for your feedback to v0.2 of the CA
Attached you can find a third version of the CA, which I hope can be considered the final version. Responses to the comments are included in the word document.
Following a discussion with Vestas, it was decided to revert to the standard DESCA provisions in Sections 8 and 9, while adding a separate clause 8.5, on Open Access. See the new clause:
"In accordance with the purpose of the Project and subject to Clause 8.4, all Results shall be made available under Open Access as defined in Annex 5 of the Grant Agreement and licensed under the Creative Commons Attribution (CC BY) license."
This is acceptable to AAU, as the Description of the Action (GA Annex 1) already foresees that the project Results will be open access.
Please let me know by September 26 if you cannot accept this version.
If no objections are received by then, I will send the attached pdf version for signature.
Also, feel free to let me know if you notice any details that require correction.

Please forward this email to your legal department.
You can find attached the draft Consortium Agreement for the SUSTAINOW project.
This Consortium Agreement is based on the current DESCA Model, which is widely used for Horizon Europe projects. We are using the version designed for Lump Sum projects (with the small project module).
May I kindly ask you to:
* Page 3: check the details of your institution and correct if needed
* Section 12: add name and title of your signatory(ies)
* Attachment 1: fill in your Background included
* Throughout the document: read and, only if you disagree with a point and this is important for your institution, suggest modifications using track changes
Please send me your input by June 13, 2025.
In general, AAU wishes to remain as closely aligned with DESCA as possible to minimize interpretation issues and speed up the negotiation process.
We have included three small changes to DESCA, which we hope you can accept:
* 6.5.2: addition of "at least" in => "The chairperson shall convene ordinary meetings of the Work Package Leaders Group at least every three months". This is just to allow us to have more regular ordinary WPL meetings if needed (the WPL frequency will be discussed and agreed upon during the kick-off meeting
* 8.4.2.1: "Prior notice of any planned publication shall be given to the other Parties at least 45 30 calendar days before the publication"=> if possible, we would like a 30 days' notice period as a 45 days' notice is very difficult to implement in practice
* 12: addition of: "The Parties agree that this Consortium Agreement is executed by electronic signatures, which shall be considered as an original signature for all purposes and shall have the same force and effect as an original signature" => this is to allow for electronic signature
If you plan to suggest modifications to the agreement, please focus on the crucial points for you as we are working on a tight deadline. Also, if you request a modification, remember to include a comment explaining why you are requesting this change (and your institution's acronym).
As mentioned by Ivar in a previous email, we are under pressure from the EC to conclude the CA as fast as possible. The Project Officer wrote the following to us:
We will need to work together closely to ensure that the following timetable is respected: (...)
* 07/07/2025: You provide written confirmation to the Agency that all beneficiaries have signed the Consortium Agreement. You should start working on the Consortium Agreement as soon as possible.
Failure to respect the deadlines indicated above may be considered as a wish not to enter into, or continue with, the grant preparation. In such a case, the Agency reserves the right to initiate the procedures to reject your proposal, unless alternative arrangements have been accepted by the Agency.
